Terms & Conditions

PLEASE READ THESE TERMS AND CONDITIONS
You are entering into a legally binding contract with KPEP and are agreeing to be bound by these KPEP Ambassador Terms and Conditions (this "Agreement") which will govern the relationship between you, as a participant in the KPEP Ambassador Program (the "Program"), and KPEP.
IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT SUBMIT YOUR APPLICATION OR CONTINUE YOUR PARTICIPATION IN THE PROGRAM. In addition, if at any time you no longer wish to be bound by these Ambassador Terms and Conditions, you must immediately notify KPEP.


1. Definitions

The following terms will have the meanings specified below.
  • Ambassador means a person selected by KPEP to promote KPEP products (including action cameras, AI smart glasses, and accessories) via Ambassador Accounts.
  • Ambassador Accounts means the Ambassador’s social media accounts approved in the application.
  • Approved Media means Facebook, Twitter, TikTok, Instagram, YouTube, and other platforms approved by KPEP in writing.
  • Promotional Activities means advertising, marketing, and promoting KPEP products on approved Ambassador Accounts.
  • KPEP Products means all cameras, smart glasses, accessories, and gear sold by KPEP.


2. Program Scope

Upon selection as a KPEP Ambassador, you agree to actively promote KPEP Products globally. You will comply with these Terms, KPEP’s website Terms of Use, Privacy Policy, and any guidelines provided by KPEP.


3. Application for Enrollment

To become an Ambassador you must complete and submit the online application. All information must be true and accurate. You may not use bots or automated tools to apply. KPEP may accept or reject any application for any reason.


4. Eligibility Criteria

You confirm and agree:
  • You are at least 18 years old.
  • You have read, understand, and agree to these Terms.
  • You will maintain public social media accounts during participation.


5. Compliance

You agree to comply with all applicable laws, FTC guidelines, platform rules, and these Terms.
You warrant:
  • You have all rights to publish content.
  • You will not artificially inflate followers, likes, or engagement.
  • Your content will not infringe third-party rights.


6. Ambassador Portal

You may create a portal account provided by a third party. You agree to keep login details secure and information up to date.


7. Promotional Activities

You agree to consistently promote KPEP Products, including:
  • Posting photos, videos, and reviews of KPEP Products.
  • Sharing your unique discount code and referral link.
  • Engaging with followers to drive genuine sales.
  • Attending training or events as requested by KPEP.
All content must be positive, truthful, and consistent with KPEP’s brand.


8. Other Obligations

  • Keep your Ambassador Accounts public.
  • Promptly notify KPEP of account changes or updates.
  • Use KPEP Products only as intended and described.


9. Use of Content; Licenses

You grant KPEP perpetual, worldwide, royalty-free rights to use, copy, edit, post, and publish all content you create for the Program (including photos, videos, and captions) across all marketing channels, with or without credit or compensation.


10. Ambassador Responsibilities

You agree to:
  • Conduct yourself professionally and legally.
  • Represent KPEP positively and honestly.
  • Include required disclosures (e.g., #ad, #partner) in all promotional content.
  • Share only your genuine experience with KPEP Products.


11. Prohibitions

You MAY NOT:
  • Buy followers, likes, views, or fake engagement.
  • Make unauthorized claims or warranties for KPEP.
  • Send spam, unsolicited messages, or post in restricted groups.
  • Post offensive, inappropriate, or brand-harming content.
  • Share or post your code on coupon sites (RetailMeNot, Coupons.com, etc.).
  • Use unauthorized KPEP trademarks, logos, or intellectual property.
  • Sell or resell KPEP Products independently.
  • Violate KPEP’s intellectual property rights.


12. Monitoring

KPEP may monitor your accounts and content. KPEP may require you to remove or edit content at any time. Failure to comply may result in termination.


13. Term; Termination

This Agreement begins when you apply.
  • KPEP may terminate immediately for any reason.
  • You may terminate with 30 days’ written notice.
    Upon termination: you must stop promoting KPEP, remove promotional content, and return any outstanding materials. Confidentiality and intellectual property clauses survive termination.


14. Compensation

Eligible Ambassadors may receive:
  • Free KPEP Products (at KPEP’s discretion).
  • Commission on qualified sales via your unique code/link.
  • Opportunities for events, collaborations, and bonuses.
Commission Structure
Ambassadors earn a commission on Net Sales (total sales minus shipping, taxes, returns, and fraud). KPEP pays commissions monthly. KPEP may adjust rates or terms with notice.


15. Intellectual Property

All KPEP trademarks, logos, product designs, and content are exclusive property of KPEP. You are granted a limited, revocable license to use them only for Program promotion. You may not modify, copy, or misuse KPEP intellectual property.


16. Confidential Information

You agree to protect all non-public KPEP information (product plans, pricing, sales data, strategies) and not disclose it to third parties.


17. Competing Products

You agree not to promote competing camera, smart eyewear, or outdoor tech brands while in the Program. KPEP may terminate your status immediately if you promote competing products.


18. Indemnity

You agree to defend, indemnify, and hold KPEP harmless from all claims, damages, or legal fees arising from your breach of these Terms or unlawful activity.


19. Limitation of Liability

KPEP is not liable for lost profits, indirect, incidental, or consequential damages. Total liability shall not exceed commissions paid to you in the prior 6 months.


20. Independent Contractor

You are an independent contractor, not an employee of KPEP. You are not entitled to employment benefits.


21. Modifications

KPEP may update these Terms at any time. Continued participation constitutes acceptance of changes.
